Terms of Service

Please read these terms carefully before using our services.

1. Acceptance of Terms

By accessing or using the ReasonMe platform and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any modifications.

2. Definitions

  • "Service" means the ReasonMe AI-powered prompt expansion platform, including the website, web application, API, and all related services.
  • "User" or "you" means any individual or entity accessing or using the Service.
  • "Content" means any text, prompts, outputs, templates, or other materials submitted to or generated by the Service.
  • "Organization" means a company, team, or other entity with an organizational account.
  • "Subscription" means a paid plan providing access to premium features.
  • "API" means the application programming interface provided for programmatic access to the Service.
  • "Credits" means the usage units allocated to your account for prompt expansions.

3. Description of Service

ReasonMe provides an AI-powered prompt expansion service that transforms simple prompts into detailed, professional instructions optimized for AI systems. The Service includes:

  • Web-based prompt expansion interface
  • RESTful API for programmatic access
  • Template library and customization
  • Quality scoring and analytics
  • Multi-language support and translation
  • Team collaboration and organization features
  • Webhook integrations

4. Account Registration & Security

4.1 Account Requirements

To use certain features, you must register for an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Be at least 16 years of age
  • Not create multiple accounts for abusive purposes

4.2 Password & Security

  • Passwords must meet minimum security requirements (8+ characters, mixed case, numbers, symbols)
  • You are responsible for maintaining the confidentiality of your credentials
  • You must immediately notify us of any unauthorized access
  • We strongly recommend enabling multi-factor authentication (MFA)

4.3 Account Responsibility

You are solely responsible for all activities that occur under your account, whether or not authorized by you. ReasonMe is not liable for any loss or damage arising from unauthorized use of your account.

5. Subscription Plans & Billing

5.1 Plan Tiers

We offer the following subscription tiers:

  • Free: Limited features, 10 expansions per month
  • Starter: 100 expansions per month, email support
  • Professional: Unlimited expansions, priority support, analytics
  • Enterprise: Custom limits, dedicated support, SLA

5.2 Billing

  • Subscriptions are billed monthly or annually in advance
  • All fees are in US Dollars unless otherwise specified
  • Payments are processed securely via Stripe
  • You agree to pay all applicable taxes

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel at any time through your account settings.

5.4 Price Changes

We may modify pricing with 30 days' advance notice. Price changes take effect at the start of your next billing cycle.

5.5 Refunds

We offer a 14-day refund policy for new subscriptions. Refund requests after 14 days are evaluated on a case-by-case basis. Contact contact@reasonme.ai for refund inquiries.

5.6 Promotional Codes

Promotional codes are subject to specific terms and expiration dates. Codes cannot be combined or applied retroactively.

6. Credits & Usage Quotas

  • Each prompt expansion consumes credits based on your plan tier
  • Daily and monthly limits apply based on your subscription
  • Unused credits do not roll over to the next billing period
  • Credits are non-transferable between accounts
  • Exceeding quotas may result in temporary service restrictions
  • Enterprise customers may negotiate custom quota arrangements

7. API Terms of Use

7.1 API Access

API access is available on Starter plans and above. API keys are provided for programmatic access to the Service.

7.3 API Key Security

  • Keep your API keys confidential and secure
  • Do not share keys publicly or embed them in client-side code
  • Rotate keys periodically and immediately if compromised
  • Use environment variables or secure vaults for key storage

7.4 Prohibited API Uses

  • Automated scraping or data harvesting
  • Circumventing rate limits or access controls
  • Reselling API access without authorization
  • Creating competing services using our API

8. Acceptable Use Policy

You agree not to use the Service to:

8.1 Prohibited Content

  • Generate illegal, harmful, threatening, or abusive content
  • Create content that promotes violence, hatred, or discrimination
  • Produce sexually explicit or exploitative material
  • Generate content that infringes intellectual property rights
  • Create misleading, fraudulent, or deceptive content

8.2 Prohibited Activities

  • Attempt to reverse engineer, decompile, or extract source code
  • Interfere with or disrupt the Service or servers
  • Bypass security measures or access controls
  • Engage in automated use that strains our infrastructure
  • Impersonate others or misrepresent your affiliation

8.3 AI-Specific Restrictions

  • Do not use the Service to generate malware, viruses, or harmful code
  • Do not create prompts designed to jailbreak or manipulate AI systems
  • Do not generate content intended to deceive people about AI involvement
  • Comply with OpenAI and Anthropic acceptable use policies

9. AI-Generated Content Disclaimer

IMPORTANT: AI-generated outputs are provided as suggestions only.

  • No Guarantee of Accuracy: We do not warrant that AI-generated content is accurate, complete, or suitable for any particular purpose.
  • User Responsibility: You are solely responsible for reviewing, verifying, and appropriately using any AI-generated content.
  • Not Professional Advice: AI outputs do not constitute legal, medical, financial, or other professional advice.
  • Variable Results: AI outputs may vary and are not guaranteed to be consistent across requests.

10. Intellectual Property

10.1 ReasonMe Property

The Service, including its software, design, algorithms, and documentation, is owned by ReasonMe and protected by intellectual property laws. You may not copy, modify, or distribute our proprietary technology.

10.2 Your Content

You retain ownership of the prompts you submit and any original content you create. By using the Service, you grant us a limited license to process your content solely for providing the Service.

10.3 AI-Generated Outputs

Subject to these Terms and applicable law, you may use AI-generated outputs for your personal or business purposes. You are responsible for ensuring your use complies with applicable laws and third-party rights.

10.4 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by ReasonMe without obligation or compensation to you.

11. Templates & Community Content

  • User-Created Templates: Templates you create remain your property. You control whether they are private or public.
  • Public Templates: By making a template public, you grant other users a license to use and fork that template.
  • Forking: Forked templates may be modified and used according to these Terms.
  • Attribution: We may display attribution for public templates but do not guarantee it.

12. Organizations & Teams

12.1 Organization Accounts

Organizations may create accounts to manage teams. The organization owner is responsible for managing members and ensuring compliance with these Terms.

12.2 Owner Responsibilities

  • Managing member access and permissions
  • Ensuring members comply with these Terms
  • Paying all fees for the organization account
  • Designating authorized administrators

12.3 Data Access

Organization owners and administrators may have access to member usage data and content within the organization. Members should be aware of their organization's data practices.

13. Webhooks & Integrations

  • Endpoint Security: You are responsible for securing your webhook endpoints and validating webhook signatures.
  • Availability: We do not guarantee webhook delivery. Implement appropriate retry and error handling.
  • Retry Policy: Failed webhook deliveries may be retried with exponential backoff.
  • No SLA: Webhooks are not covered by service level agreements unless explicitly included in an Enterprise agreement.

14. Third-Party AI Providers

Our Service uses third-party AI providers. By using the Service, you agree to comply with their terms:

Violations of AI provider policies may result in suspension or termination of your account.

15. Data Processing

When you use the Service to process personal data:

  • You are the Data Controller for any personal data you submit to the Service.
  • ReasonMe is the Data Processor processing data on your behalf according to your instructions.
  • Data Processing Agreement: Enterprise customers may request a DPA by contacting contact@reasonme.ai.
  • Sub-processors: A list of sub-processors is available in our Privacy Policy.

16. Service Availability

  • Target Uptime: We aim for 99.9% uptime for our core services. Enterprise customers may have SLA guarantees.
  • Scheduled Maintenance: We may perform maintenance with advance notice when possible.
  • Force Majeure: We are not liable for unavailability due to circumstances beyond our reasonable control.

17. Service Level Agreement (Enterprise)

Enterprise customers may be eligible for Service Level Agreements including:

  • Guaranteed uptime commitments (99.9%+)
  • Priority support response times
  • Service credits for downtime
  • Dedicated account management

19. Confidentiality

  • Mutual Confidentiality: Both parties agree to protect confidential information disclosed during the use of the Service.
  • Exceptions: Confidentiality obligations do not apply to publicly available information or information independently developed.
  • Duration: Confidentiality obligations survive termination for 3 years.

20. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • AI-generated outputs will be accurate or suitable for your needs
  • The Service will meet your specific requirements
  • Any defects will be corrected

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REASONME SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for all claims related to the Service is limited to the greater of:

  • The amount you paid us in the 12 months preceding the claim, or
  • $100 USD

22. Indemnification

You agree to indemnify, defend, and hold harmless ReasonMe, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you submit to the Service
  • Your use of AI-generated outputs

23. Termination

23.1 Termination by You

You may cancel your account at any time through account settings. Cancellation takes effect at the end of your current billing period.

23.2 Termination by ReasonMe

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a risk to the Service or other users.

23.3 Effect of Termination

  • Your right to access the Service ceases immediately
  • You may export your data within 30 days of termination
  • We may delete your data after the export period
  • Sections that should survive termination will remain in effect

24. Export Compliance

The Service may be subject to export control laws of the United States and other jurisdictions. You agree to:

  • Comply with all applicable export and re-export restrictions
  • Not use the Service in prohibited countries or by prohibited persons
  • Certify that you are not on any government restricted party list

25. Dispute Resolution

25.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

25.2 Jurisdiction

Any disputes shall be resolved in the state or federal courts located in San Francisco, California, and you consent to the exclusive jurisdiction of such courts.

25.3 Arbitration (Enterprise)

Enterprise customers may opt for binding arbitration under the rules of the American Arbitration Association (AAA).

26. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and ReasonMe regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
  • Force Majeure: Neither party is liable for delays due to circumstances beyond reasonable control.
  • Notices: We may send notices via email or through the Service. You should send notices to contact@reasonme.ai.
